Partner Terms of Use

Welcome to Universal Verify! These Partner Terms of Use ("Terms") govern your access to and use of Universal Verify's services as an integration partner, including the Universal Verify platform, APIs, partner portal, documentation, and related services ("Service"). By integrating with or accessing the Service, you agree to be bound by these Terms.

1. Eligibility

You must have the legal authority to bind your organization to these Terms. By using the Service on behalf of an organization, you represent and warrant that you have such authority.

2. Description of the Service

Universal Verify provides ID-based user verification services intended to help platforms validate that their users are real people. While we strive to prevent bots, fraudulent users, and other malicious actors from passing our verification, no verification system is perfect, and Universal Verify does not guarantee the accuracy, completeness, or infallibility of any verification results.

3. Your Responsibilities

• You are solely responsible for evaluating and determining whether to trust, act on, or accept verification information provided by Universal Verify.
• You must store, process, and use any information received through the Service in full compliance with all applicable privacy, data protection, and security laws.
• You are responsible for maintaining the security of your own systems and credentials when accessing the Service.
• You must not attempt to interfere with, disrupt, or misuse the Service or the underlying infrastructure.

4. Outages and Service Availability

• The Service may experience downtime, interruptions, delays, or errors, whether due to maintenance, system failures, cyberattacks, force majeure events, or other causes. We make no guarantees regarding uptime or availability.
• Universal Verify will not be liable for any damages, losses, costs, or other consequences you may experience as a result of any service outages, delays, or disruptions.

5. Accuracy and Limitations of Verification

• Universal Verify uses reasonable measures to verify the authenticity of users, but we do not guarantee that every verified user is a legitimate human, nor do we guarantee the complete absence of bots, fake users, forged documents, or other fraudulent activity.
• You acknowledge and accept that false positives and false negatives may occur and that you assume all risk arising from your reliance on verification results.
• Universal Verify shall not be liable for any damages, losses, or costs arising from inaccuracies, incomplete verification, or failure to detect fraudulent users.

6. Data Usage and Responsibilities

• You are solely responsible for any processing, storage, and usage of information received from Universal Verify after it is provided to you.
• Universal Verify obtains necessary user consents for the initial sharing of user information through our platform.
• You are responsible for ensuring your ongoing handling, storage, processing, and use of such information complies with all applicable privacy, data protection, and security laws.
• Universal Verify is not responsible for your compliance with legal, regulatory, or contractual obligations related to your data practices.

7. Regional Data Handling and Data Residency

• Universal Verify may store and process user information on servers located in various countries, depending on the region where the user's identification was issued and applicable data residency requirements.
• As a partner, you are responsible for ensuring that any access to or storage of user data complies with the data protection and privacy laws of the region where the data was originally stored by Universal Verify.
• If you access or transfer user data to a country different from where it was initially stored, you must disclose this to the user and ensure that your handling of the data meets or exceeds the standards of the original jurisdiction's data protection laws.
• It is your responsibility to understand and comply with all relevant data residency, cross-border transfer, and disclosure obligations when handling user information provided through the Service.

8. Intellectual Property

• All content, technology, and materials provided by Universal Verify are owned by Universal Verify or its licensors.
• You are granted a limited, non-exclusive, non-transferable license to access and use the Service solely for your internal business purposes in accordance with these Terms.
• You may not copy, modify, distribute, or create derivative works of the Service without our prior written consent.

9. Disclaimers

• The Service is provided "as is" and "as available."
• Universal Verify disclaims all warranties, express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of verification results.
• We do not guarantee uninterrupted or error-free operation of the Service.

10. Limitation of Liability

To the maximum extent permitted by law:

• Universal Verify will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, business opportunities, or goodwill, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages.
• Our total liability for all claims arising out of or relating to these Terms or the Service will not exceed one hundred dollars ($100) or the amount you paid to us in the six (6) months preceding the claim, whichever is greater.

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, including if you violate these Terms or engage in activities that could harm the Service or its users.

12. Modifications to These Terms

We may update these Terms from time to time. We will provide reasonable notice of material changes by email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed under the laws of the State of Virginia, United States, without regard to its conflict of law principles.
